David Cope

Mr. Cope, 49, currently serves as General Counsel for the Company and its affiliates. Mr. Cope has over 17 years of combined legal and business experience in the timeshare industry. Prior to joining NHG, Mr. Cope served as General Counsel for Surrey Vacation Resorts, Inc. from April 2012 through December 2015, as Assistant General Counsel for Bluegreen Corporation from 2001 to 2008, and as a Marketing Director for Bluegreen Corporation from 2008 to 2010 and for Silverleaf Resorts from 2010 to 2011. Mr. Cope obtained his Juris Doctorate degree from the University of Miami School of Law in Coral Gables, Florida, and he received his Bachelors of Arts Degree in International Studies from The American University in Washington, D.C. Mr. Cope has been a member of the Florida Bar since 1995.

Mark Westbrook

Mr. Westbrook, 54, has 32 years of direct timeshare resort operations management oversight and has served as President and Chief Operating Officer for Defender since 2007. In addition, he has 10 years of experience as President/Chief Operating Officer with the management of 28 timeshare resorts with total property assets greater than $150 million, operating budgets in excess of $30 million and capital reserve accounts exceeding $24 million. He directly oversees 26 corporate and operations staff members that together manage over 325 resort employees. Mr. Westbrook is a member of ARDA, Hospitality Associations and various Chambers of Commerce throughout the states where Defender manages its properties.

Bill Young

Mr. Young, 61, currently manages all aspects of the SPM Resorts and is responsible for new business development for 34 different resorts. Mr. Young has worked at SPM since 2001 and has 25 years of timeshare and management experience, and 14 years of full-service hotel experience, including work at Hilton Resorts and Sheraton Resorts. Mr. Young currently serves on the Board of Directors for the American Resort Development Association.

Jeff Norris

Mr. Norris, 39, leads NHG’s long term technology strategy and technology team. Prior to joining NHG in 2016, Mr. Norris served as the Chief Executive Officer of Remote Technology Services between 2009 and 2016, a regional leader in Managed Services for the SMB market. Mr. Norris has an MBA from Winthrop University and a BA in Marketing from Coastal Carolina University.

James Muchmore

Mr. Muchmore, 43, has served as our Executive Vice President and Chief Securities Officer since January 2017. Prior to joining the Company, Mr. Muchmore served as the General Counsel for Emerald Oil, Inc., which was later renamed as National Oil Production Company LLC between 2014 and 2016. Between 2013 and 2014, Mr. Muchmore served as a partner at Husch Blackwell, LLP, focusing on securities transactions and mergers and acquisitions. Mr. Muchmore is currently a substantial shareholder in NHG. Mr. Muchmore obtained a Juris Doctor from Syracuse University College of Law, and a Bachelor of Arts in Government and English from Lafayette College.

Casey Shroff

Mr. Shroff, 70, currently serves as a director for the Company. Mr. Shroff worked at Andersen Consulting and Accenture from 1976 to 2001 in the banking and financial services division, with his most recent position being Managing Director, Charlotte Office. Mr. Shroff currently serves as the Chief Executive Officer of Ocean Front Resort Timesharing Developer, where he has served since 2001. Mr. Shroff is a Certified Public Accountant, and he earned a Bachelor of Science Degree in Math from North Carolina State University. Mr. Shroff is the father of our Chief Executive Officer, Mr. Jason Shroff. We believe that Mr. Shroff is qualified to serve on the Company’s Board of Directors because of his extensive experience starting, developing and managing timeshare companies.

Matt Sheehy

Mr. Sheehy currently serves as a director for the Company. Since 2012, Mr. Sheehy has served as the Chief Commercial Officer of Tallgrass Energy (NYSE: TEP, NYSE: TEGP), a Leawood, Kansas based pipeline company, and is President & Board Member of Rockies Express Pipeline, LLC a natural gas operated pipeline that is operated and 75% owned by Tallgrass. Prior to joining Tallgrass, Mr. Sheehy was a Principal and General Partner with Silverhawk Capital Partners, a Greenwich, CT based private equity firm. Mr. Sheehy served as a director for Emerald Oil, Inc. from 2015 through 2016. Mr. Sheehy earned a Bachelor of Arts Degree in Economics from Vanderbilt University. We believe that Mr. Sheehy is qualified to serve on the Company’s Board of Directors because of his extensive operational and management experience developing early and mid-stage operating companies.

Henry Cairo

Mr. Cairo, 69, currently serves as a director for the Company. Mr. Cairo is the president of Resort Capital Advisors, Inc., a financial advisory firm formed in 1998 concentrating in the hospitality, resort and real estate industries. Mr. Cairo has over thirty-five years of experience representing developers, lenders, investors, marketing and management companies, homeowner associations, and exchange companies. His engagements have included asset management, fee for service relationships, valuations, bankruptcy work for creditors, and expert witness work in a variety of vacation ownership and hospitality related litigation, bankruptcy, and valuation matters. Mr. Cairo holds a bachelors degree, with honors, in European history from the University of Wisconsin, an MBA, with honors, in accounting and finance from the University of Chicago, and a JD from DePaul University. We believe that Mr. Cairo is qualified to serve on the Company’s Board of Directors because of his extensive experience in the timeshare and vacation ownership industry.

McAndrew Rudisill

McAndrew Rudisill, 38, has served as the Chief Investment Officer & Executive Director of the Company since 2017 and has served as a director on the Board of Directors since January 2017. Mr. Rudisill oversees NHG’s corporate finance activities and all acquisition related analysis and financing. Mr. Rudisill is currently the second largest shareholder in NHG and has organized, structured and lead multiple rounds of both debt and equity investment into NHG since its inception. Prior to joining the Company, Mr. Rudisill served as the Chief Executive Officer and President at Emerald Oil, Inc., which was later renamed as National Oil Production Company LLC, between 2012 and 2017. Mr. Rudisill received a B.A. in Economics from Middlebury College.

Jason Shroff

Mr. Shroff, 37, has served as the Chief Executive Officer of the Company since 2013 and has served as Chairman of the Board of Directors since January 2017. Mr. Shroff has over fifteen years of timeshare resort development and management experience. During his career, Mr. Shroff has overseen the financing, construction and sales and marketing of over $400 million in timeshare sales and has worked on real estate development financing for various projects throughout the United States totaling over $1 billion. Mr. Shroff is also the founder and majority shareholder of NHG. Mr. Shroff obtained a Juris Doctor from the University of North Carolina-Chapel Hill with high honors and a BS in Business Administration from the University of North Carolina-Chapel Hill. Mr. Shroff has been a member of the South Carolina Bar since 2010.
